1About these Terms#
These Terms of Service ("Terms") are a legal agreement between you and Morsel Labs LLC, a Wyoming limited liability company at 30 N Gould St, Ste R, Sheridan, WY 82801, United States ("Morsel", "we", "us" or "our").
They apply when you use any of the following (together, the "Services"):
- Morsel Wallet, our app for iOS and Android and our extension for Chrome and other Chromium browsers (the "App");
- our websites, including morselwallet.app and its subdomains such as docs.morselwallet.app, support.morselwallet.app and connect.morselwallet.app;
- the Morsel connect kit, the software dApps use to let people connect with Morsel; and
- the infrastructure we operate for the App, such as our API, RPC, relay and notification services at api.dumpsack.xyz, rpc.dumpsack.xyz and wss.dumpsack.xyz ("Morsel Infrastructure").
By installing, opening or using the Services, you agree to these Terms and confirm you have read our Privacy Policy, which explains how we handle personal data. If you do not agree, do not use the Services.
Some features show extra terms or notices in the App before you use them. Those form part of these Terms. If they conflict with these Terms, the feature terms control for that feature.
2Eligibility#
You may use the Services only if all of the following are true:
- you are at least 18 years old and old enough to form a binding contract where you live;
- you are not a Sanctioned Person and you are not in, or ordinarily resident in, a Restricted Jurisdiction (both defined in Section 3);
- you have not previously been barred from using the Services; and
- using the Services does not break any law that applies to you.
If you use the Services on behalf of a company or other organization, you confirm you have authority to bind it to these Terms, and "you" includes that organization.
3Sanctions and restricted jurisdictions#
You may not use the Services if you are, or act on behalf of, a "Sanctioned Person": anyone on, or owned or controlled by anyone on, a sanctions list kept by the United States (including the Office of Foreign Assets Control's Specially Designated Nationals list), the United Nations Security Council, the European Union, the United Kingdom or any other authority whose sanctions apply to us.
You may not use the Services from, or for the benefit of anyone in, a "Restricted Jurisdiction": any country or region subject to comprehensive US sanctions, which currently include Cuba, Iran, North Korea and the Crimea, so-called Donetsk People's Republic and so-called Luhansk People's Republic regions of Ukraine. We may add other places where offering the Services would be unlawful.
You may not use a VPN or any other tool to hide your location in order to get around these restrictions. We may block access to Morsel Infrastructure from Restricted Jurisdictions, and we may refuse to serve a wallet address we reasonably believe is linked to a Sanctioned Person or to unlawful activity. Because the App is self-custody software, blocking access to our services does not move or freeze assets on any blockchain.
4Self-custody: your keys, your responsibility#
Morsel is non-custodial software. This is the most important thing to understand about it.
- Your keys stay on your device. Your recovery phrase and private keys are created on your device and stored there in encrypted form, protected by your password and, if you turn it on, by your device's biometric or passcode lock (for example Face ID through the iOS Keychain, or the Android Keystore). They are not sent to us, and we cannot see or access them. (Earlier versions of the App offered an optional cloud backup, encrypted on your device with your wallet password. We are retiring it: updated versions of the App stop uploading backups, and backups already stored with us will be deleted at the end of a notice period. See our Privacy Policy.)
- We cannot recover anything. We cannot restore a lost recovery phrase, reset a forgotten password, reverse a transaction, freeze an account or move assets for you. If you lose your recovery phrase and your device, your assets are lost permanently.
- You control your assets. Your digital assets live on public blockchains, not with us. The App lets you view them and sign instructions with your keys. We do not hold, manage or have control over your digital assets, and we are not a party to your transactions.
- Protect your recovery phrase. Write it down and keep it somewhere safe and offline. Anyone who has it can take everything in your wallet. Morsel will never ask for your recovery phrase, private key or password, by chat, email, phone, social media or any other way. Anyone who asks is trying to steal from you.
- Protect your device. Keep your device's operating system up to date, use a strong device passcode, and do not use the App on a jailbroken or rooted device. You are responsible for everything done with your wallet, including by anyone you let use your device.
Morsel is not a bank, broker, dealer, exchange, custodian, money services business, investment adviser or fiduciary, and these Terms do not create any of those relationships. Nothing in the Services is an offer to buy or sell any digital asset or security. (Private Route, described in Section 10, is the one feature where Morsel briefly handles funds, and that Section explains how.)
5What the Services do#
The App lets you, among other things:
- create or import wallets, and view the balances, positions, collectibles and activity of your own wallets and of wallets you choose to view;
- send and receive digital assets on Cookie Chain and Solana, including to
.cooknames, with an optional public note; - swap tokens, place limit orders, set up recurring sends and bridge assets between Cookie Chain and Solana;
- stake COOK and SOL with validators, and find SOL liquid staking tokens;
- send private payments with Private Route;
- message other wallets in encrypted chats, and send or request payments in a chat;
- browse and connect to decentralized applications ("dApps") in the in-app browser or through the Morsel connect kit;
- view, send and burn collectibles on both networks, and open them on marketplaces such as Baked Bazaar; and
- receive notifications, use voice search, and use security features such as transaction previews, token security scores and spam filtering.
Not every feature is available on every platform, network or in every place, and we may add, change or remove features at any time.
5.1Networks and Morsel Infrastructure#
Cookie Chain and Solana are independent public blockchains. Morsel does not own, operate or control them, their validators or the protocols built on them. Only one network is active in the App at a time, and many addresses are valid on both networks, so check which network you are using before you send anything.
To make the App work, we operate Morsel Infrastructure that reads blockchain data, prepares unsigned transactions for features like swaps and bridging, relays your signed transactions to the network, and delivers notifications. We do this as a convenience. Morsel Infrastructure may be slow, unavailable or out of date, and you can always reach your assets with your recovery phrase in other compatible wallet software.
5.2Information, not advice#
Prices, charts, balances, market caps, trending lists, positions, yields, token security scores, verified badges, transaction previews and other information in the Services come from blockchains, third parties and our own calculations. They can be delayed, incomplete or wrong. They are for information only and are not financial, investment, legal or tax advice, and not a recommendation to buy, sell, hold or stake anything. Do your own research and consider getting independent professional advice.
6Transactions#
Every transaction is created by you and signed with your keys on your device. Before you sign, the App shows you a review screen. You are responsible for checking it, including the recipient, network, token, amount and fees.
- Transactions are final. Once a transaction is submitted to a blockchain it generally cannot be canceled, changed or reversed, by you or by us.
- Network fees. Blockchains charge network fees, paid to the network and its validators, not to Morsel. A transaction can fail and still use up its network fee.
- Previews are estimates. The App simulates many transactions before you sign and shows the expected result and the network it was built for. A simulation reflects the state of the blockchain at that moment and can differ from the actual outcome. It is not a guarantee.
- Wrong address or network. Assets sent to the wrong address, the wrong network or an address that cannot receive them are usually lost for good.
- Timing. We do not control when, or whether, a network includes your transaction.
7Swaps, limit orders, recurring sends and bridging#
7.1Swaps#
On Cookie Chain, the App compares quotes from swap aggregators (currently CookieBox and CookieScan) that route through Cookie Chain liquidity pools such as CookieSwap and CookieBox, and uses the better one. Tokens still on a MomoSwap launch curve are swapped on that curve. On Solana, swaps are routed through Jupiter and other Solana venues and routing services, such as Raptor (by Solana Tracker), Raydium and pump.fun. The App shows the expected amount, the minimum you will accept (based on your slippage setting), the price impact and the Morsel swap fee described in Section 15. Swaps execute through third-party smart contracts. Morsel is not a counterparty to your swap, does not hold your tokens during it, and does not guarantee the price, the route or that a swap will succeed.
On some Cookie Chain tokens, the App lets you add an optional tip for the token's creator to a swap. A tip goes to the creator, not to Morsel, and is off unless you choose it.
7.2Limit orders#
On Cookie Chain, limit orders use on-chain limit order programs: your tokens are held by the program in an account tied to your order, and independent executors ("keepers") fill the order when the price is reached. On Solana, limit orders use Jupiter's trigger order service, which works the same way. You can cancel an open order at any time to get back the unfilled amount. An order may fill partly, late or not at all, and the program or service may charge its own fee, which the App shows before you place the order.
7.3Recurring sends#
Where available, recurring sends on Cookie Chain use an on-chain standing order program. You deposit the amount for your schedule into a program account tied to your order, and an executor operated by Morsel triggers each payment on schedule. The executor can only pay the recipient you chose, at the amount and interval you chose. You can pause or stop an order and withdraw what is left. Payments may be delayed or skipped if the network or our executor is unavailable.
7.4Bridging#
The App bridges COOK and SOL between Solana and Cookie Chain using Hyperlane, an independent cross-chain protocol. A bridge transfer locks or burns the asset on one chain and releases or mints it on the other. Transfers usually take under a few minutes but can take longer, and they depend on Hyperlane's contracts and its relayers and validators, which we do not control. Each route has limited reserves, so the App may refuse an amount larger than the route can deliver. Morsel charges the bridge fee described in Section 15.
8Staking#
The App lets you delegate COOK and SOL to validators on Cookie Chain and Solana (native staking), and shows SOL liquid staking tokens you can swap into.
- You choose the validator. Most validators are run by independent operators. On Cookie Chain, the App suggests the validator operated by Morsel first, unless it is unavailable, and Morsel receives that validator's commission. You can choose any other validator instead. A suggestion is not a guarantee of performance. Each validator sets its own commission, the share of rewards it keeps, which the App shows.
- Rewards are not guaranteed. Staking rewards depend on the network's rules and the validator's performance. At the time of writing, Cookie Chain issues no new COOK as staking rewards, so staking COOK earns nothing, and the App shows that as 0%.
- Lockups. Delegated stake is not available immediately. Activating and deactivating stake takes at least one network epoch (roughly two days on Cookie Chain and two to three days on Solana), and longer when a lot of stake is moving at once. During that time you cannot use those assets.
- Slashing and validator risk. A validator can go offline or misbehave. If a network penalizes ("slashes") stake for validator misconduct, you can lose some of what you delegated.
- Liquid staking tokens. SOL liquid staking tokens such as JitoSOL, mSOL or jupSOL are issued by third-party protocols. Their value can move away from SOL, and they carry smart contract risk.
9Private Mode and Hidden Balances#
Hidden Balances masks amounts on your screen. It changes nothing on any blockchain.
Private Mode connects you to dApps with a separate private wallet instead of your main wallet, so sites do not see your main address. Your private wallet is created from your recovery phrase, so it comes back when you restore your wallet, and you can start a new one at any time. You can add funds to it through Private Route. Private Mode hides your main wallet from the sites you use. It does not hide your balances (that is Hidden Balances), and it does not make what you do with the private wallet anonymous: its activity is public on the blockchain like any other wallet's. Chats are off while Private Mode is on.
10Private Route#
Private Route sends COOK on Cookie Chain to a recipient without a direct on-chain transfer from your wallet to theirs.
- How it works. You pay the amount plus the Private Route fee, both shown before you confirm, into a one-time address that Morsel controls. Payments have minimum and maximum amounts. Morsel then pays the recipient from one of its own payout wallets. If the payment cannot be delivered, Morsel refunds it to the refund address you chose, less any network costs already spent.
- Morsel holds the funds briefly. Between your deposit and the payout or refund, Morsel controls those funds. Morsel does this only to carry out your instruction, and does not lend, invest or otherwise use them.
- What it does not guarantee. Private Route makes it harder for a casual observer to link you to the recipient. It does not make you anonymous. Amounts, timing, the number of people using the service and other on-chain data can still let someone link the two payments. Morsel keeps order records for a limited time (see our Privacy Policy) and will respond to valid legal process.
- Lawful use only. You may not use Private Route to launder money, evade sanctions, hide the proceeds of crime or avoid taxes. We may refuse, hold or refund an order, and suspend the service, if we reasonably suspect misuse or if the law requires it.
- Availability. Private Route can be paused at any time, and individual orders may be delayed.
11Chats#
The App lets wallets message each other.
- Encryption. Messages are end-to-end encrypted on your device with keys derived from your wallet. Morsel stores and delivers the encrypted messages but cannot read their content. Some information about chats is not encrypted, such as which wallets are talking and when. Our Privacy Policy explains what we can see and how long we keep it.
- Your keys, your history. Your chat history can be restored on another device with your recovery phrase. Anyone who has your recovery phrase can read your chats.
- Message requests. Messages from wallets you have not paid or saved arrive as requests, with links and media held back until you accept.
- Payments in chat. Payments and payment requests in a chat are ordinary blockchain transactions that you review and sign yourself. A message can never move money on its own. Be careful: a payment request can come from a scammer.
- Controls. You can unsend a message you sent, and block or report a wallet. Where offered in the App, you can also delete messages for yourself, delete a chat, set messages to disappear and erase your chat data. Deleting something for yourself does not remove the other person's copy, and nothing stops the other person from keeping a screenshot or copy of what you sent.
- Reports. Reporting a wallet also blocks it. You can choose to include its most recent messages with the report so we can review them. We may limit or block a wallet's access to chats for breaking these Terms.
You are responsible for what you send. You keep any rights you have in your messages and give Morsel only the permission needed to store, transmit and deliver them, in encrypted form, to the people you send them to.
12dApps, the browser and the connect kit#
The App includes a browser for dApps and supports the Wallet Standard and WalletConnect, and the Morsel connect kit lets dApps connect to the App, for example by scanning a QR code. Connections through the connect kit pass through a relay we operate, end-to-end encrypted between the dApp and your App.
dApps, websites, protocols, marketplaces, validators, bridges and other services you reach through the Services ("Third-Party Services") are run by others. We list the main ones on our Third-party services page. Morsel does not control, endorse or guarantee them, even when they appear in our dApp catalog, trending lists or search results, and even when the App suggests them. Your use of a Third-Party Service is governed by its own terms and privacy policy, and any dispute about it is between you and its operator.
Connecting your wallet to a dApp lets it see your public address and ask you to sign messages and transactions. Only connect to dApps you trust, and read every request before you approve it.
Some links in the App, such as the MomoSwap link in Rewards, carry a Morsel referral code, and Morsel may earn a reward if you use that service through them.
If the App offers a way to buy digital assets with a card or bank transfer, the purchase is made from a licensed third-party provider under its own terms. Morsel does not sell digital assets or process your payment.
13Security features are not guarantees#
The App includes features meant to reduce risk, such as transaction simulation and previews, phishing warnings, token security scores, verified badges, and automatic hiding of suspicious tokens and collectibles. These features rely on heuristics and third-party data. They can miss real threats, and they can flag or hide legitimate assets. You can always unhide hidden items. These features do not replace your own judgment, and we are not responsible for losses that happen despite them, or because they flagged or failed to flag something.
14Notifications and voice search#
Push notifications, price alerts and market updates are a convenience and can arrive late, out of order or not at all. Do not rely on them to make time-sensitive decisions. You can choose which notifications you receive in the App's settings.
Voice search uses your device's or browser's speech recognition to help you find screens and content in the App. It never sends or approves a transaction by voice.
15Fees#
Downloading and using the App is free. Some features involve fees, and the App shows the fees that apply before you confirm.
- Network fees. Paid to the blockchain network and its validators for every transaction. Not paid to Morsel.
- Morsel fees. Morsel currently charges:
- a swap fee. When a swap buys or sells SOL (on Solana) or COOK (on Cookie Chain), the fee is 0.5% on Solana and 0.75% on Cookie Chain of the SOL or COOK amount, with a minimum of 0.001 SOL or COOK. A swap between two other tokens pays the flat minimum of 0.001 SOL or COOK. The fee is added to the swap transaction, paid to a Morsel wallet, and shown in the swap review. Because of the minimum, the fee is a larger share of very small swaps;
- a bridge fee of 0.3% of the amount you bridge, taken from that amount and paid to a Morsel wallet in the same transaction; and
- a Private Route fee of up to 2% of the amount sent (the exact rate varies slightly from order to order, which makes payments harder to match), plus a flat charge for the network costs of delivering it.
- No Morsel fee is charged today for sending, receiving, staking, limit orders or recurring sends, apart from network fees.
- Third-party fees. Liquidity pools, aggregators, limit order programs, bridges, marketplaces and validators may charge their own fees or commissions, which are set by them and may be included in the quote you see. For example, Cookie Chain limit orders carry the program's maker fee, which the App shows before you place an order, and validators keep a commission on staking rewards, including the validator Morsel operates.
- Creator tips. Optional tips to a token's creator go to the creator, not to Morsel.
We may introduce or change Morsel fees in the future. A new or changed fee applies only to transactions you confirm after the App shows it to you. Morsel fees that are part of a transaction, such as the swap and bridge fees, are charged only if that transaction succeeds. Network fees are not refundable, even when a transaction fails.
16Beta and experimental features#
Some features are labeled beta, preview, experimental or similar, or are offered to some users before others. They may contain bugs, change without notice or be withdrawn, and they are provided as-is with no commitments about availability or performance. Use them with small amounts.
17Acceptable use#
You agree not to use the Services, or help anyone else use them, to:
- break any law or regulation, including laws on money laundering, terrorist financing, sanctions, export control, securities, commodities, consumer protection, tax and data protection;
- defraud anyone, run a scam, phishing or impersonation scheme, or manipulate any market (for example wash trading or spoofing);
- send spam or unsolicited bulk messages or payment requests, or harass, threaten, abuse or intimidate anyone through chats or any other feature;
- send content that is illegal, that sexually exploits children, that incites violence or that infringes someone else's rights;
- pretend to be Morsel, a Morsel team member or anyone else, or ask anyone for their recovery phrase, private key or password;
- upload or spread malware, or interfere with or attack the Services, Morsel Infrastructure, any blockchain or any other user;
- overload, scrape or misuse Morsel Infrastructure, or get around rate limits, access controls or geographic restrictions;
- reverse engineer, decompile or disassemble the App, except where the law allows it despite this restriction; or
- use the Services in any way that could expose Morsel to legal liability or harm other users.
If we reasonably believe you have broken this Section, we may limit or end your access to Morsel Infrastructure and to features we operate, such as chats, notifications, Private Route and the connect relay, for the wallet addresses involved. We may also report suspected illegal activity to the authorities.
18Intellectual property and your license#
The Services, including the App's software, design, text, graphics, logos and the Morsel name and marks, belong to Morsel or its licensors and are protected by intellectual property laws.
Subject to these Terms, Morsel gives you a personal, limited, non-exclusive, non-transferable, non-sublicensable and revocable license to download, install and use the App on devices you own or control, for your own use. You may not copy, modify, distribute, sell or lease any part of the Services, except as these Terms allow. You may not use the Morsel name or marks without our written permission, except to refer to the Services accurately.
Some parts of the Services, such as the Morsel connect kit, are released under open source licenses. Where an open source license applies to a component, its terms govern your use of that component, and nothing in these Terms limits your rights under it.
19App store terms#
If you download the App from Apple's App Store or Google Play, you must also follow that store's terms. The following applies if you got the App from Apple:
- These Terms are between you and Morsel, not Apple. Morsel, not Apple, is responsible for the App and its content.
- Your license is limited to using the App on Apple-branded products you own or control, as the App Store's usage rules permit.
- Apple has no obligation to provide maintenance or support for the App.
- If the App fails to meet an applicable warranty, you may notify Apple, and Apple will refund any purchase price you paid for the App (the App is free). To the fullest extent the law allows, Apple has no other warranty obligation for the App.
- Apple is not responsible for any claims by you or anyone else relating to the App, including product liability claims, claims that the App fails to meet a legal or regulatory requirement, and consumer protection or privacy claims.
- If anyone claims that the App or your use of it infringes their intellectual property, Morsel, not Apple, is responsible for investigating, defending, settling and discharging that claim.
- You confirm you are not in a country subject to a US Government embargo or designated as a "terrorist supporting" country, and you are not on any US Government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
20Feedback#
If you send us ideas, suggestions or other feedback about the Services, you give Morsel a perpetual, irrevocable, worldwide, royalty-free right to use it for any purpose without paying you or crediting you. You are not required to send feedback.
21Risks you accept#
Using digital assets and blockchain technology involves serious risks. By using the Services, you confirm that you understand and accept them, including:
- Volatility. Digital asset prices can change quickly and drop to zero. Liquidity can disappear.
- Irreversibility. Blockchain transactions are final. Mistakes, such as sending to the wrong address or network, usually cannot be fixed.
- Smart contracts. Swaps, limit orders, recurring sends, staking, bridges and dApps run on smart contracts that may contain bugs, be exploited, be upgraded by their owners or behave in unexpected ways.
- Bridges. Cross-chain bridges are complex and have been the target of large hacks. A bridge failure can delay a transfer or lose it entirely.
- Staking. Staked assets are locked for a period, rewards can be zero, and validators can fail or be penalized.
- Phishing and scams. Fake apps, websites, dApps, tokens, collectibles, airdrops, messages and payment requests try to trick people into signing harmful transactions or revealing their recovery phrase.
- Networks. Blockchains can slow down, halt, fork, change their rules or be attacked. Cookie Chain is a newer network with fewer validators than larger networks.
- Software. The App, Morsel Infrastructure and third-party services may have bugs, outages or security weaknesses.
- Regulation. Laws on digital assets are changing and may restrict or end some features, or affect the value of your assets.
- Taxes. Your transactions may have tax consequences. You are responsible for working them out and paying any tax due.
22Disclaimers#
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, MORSEL, ITS AFFILIATES AND ITS AND THEIR MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS AND AGENTS (THE "MORSEL PARTIES") DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
THE MORSEL PARTIES DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT INFORMATION IN THE SERVICES IS ACCURATE OR COMPLETE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY THIRD-PARTY SERVICE, BLOCKCHAIN OR SMART CONTRACT WILL WORK AS EXPECTED. THE MORSEL PARTIES ARE NOT RESPONSIBLE FOR THIRD-PARTY SERVICES, BLOCKCHAINS OR SMART CONTRACTS.
Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
23Limitation of liability#
TO THE FULLEST EXTENT PERMITTED BY LAW:
- THE MORSEL PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR DIGITAL ASSETS, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY;
- THE MORSEL PARTIES WILL NOT BE LIABLE FOR ANY LOSS CAUSED BY: YOUR LOSS OR DISCLOSURE OF YOUR RECOVERY PHRASE, PRIVATE KEYS, PASSWORD OR DEVICE; TRANSACTIONS YOU SIGN; THIRD-PARTY SERVICES, DAPPS, SMART CONTRACTS, BRIDGES, VALIDATORS OR BLOCKCHAINS; PHISHING, SCAMS OR MALWARE; OR UNAUTHORIZED ACCESS TO YOUR DEVICE; AND
- THE TOTAL LIABILITY OF THE MORSEL PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO MORSEL IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED US DOLLARS (US$100).
These limits apply whatever the legal theory, whether contract, tort (including negligence), strict liability or otherwise. They do not limit liability that cannot be limited by law, such as liability for fraud or, where the law requires, for gross negligence, willful misconduct, death or personal injury.
24Indemnity#
To the extent the law allows, you will defend, indemnify and hold harmless the Morsel Parties from any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or relating to your use of the Services, your breach of these Terms, your violation of any law or of anyone else's rights, or content you send through the Services. We may take control of the defense of any claim at our own cost, and you will cooperate with us.
25Dispute resolution: arbitration and class action waiver#
Please read this Section carefully. It affects your legal rights.
25.1Informal resolution first#
Before starting arbitration or a court case, you and Morsel agree to try to resolve the dispute informally. Send a written notice to legal@morselwallet.app describing the dispute, the relief you want and how to contact you (we will send ours to the contact details you give us, if any). If the dispute is not resolved within 60 days after the notice is received, either party may start arbitration.
25.2Agreement to arbitrate#
Except as described in Section 25.5, you and Morsel agree that any dispute, claim or controversy arising out of or relating to these Terms or the Services, including their formation, validity, interpretation or enforceability ("Dispute"), will be resolved by binding individual arbitration, not in court. The arbitrator, and not any court, decides all questions about whether a Dispute must be arbitrated, except that a court decides questions about Section 25.4.
25.3How arbitration works#
Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect (available at adr.org), as modified by this Section, before a single arbitrator. The arbitration will take place by video conference or, if a hearing in person is needed, in Sheridan County, Wyoming, or another place we both agree. Payment of filing, administration and arbitrator fees will be governed by the AAA's rules, except that if you show that the costs of arbitration would be prohibitive compared with the costs of going to court, Morsel will pay as much of them as the arbitrator finds necessary to prevent that. The arbitrator may award any individual relief a court could award, and the award is final and binding. Judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this Section.
25.4Class action and jury trial waiver#
You and Morsel may bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding. You and Morsel each waive any right to a jury trial. If this Section 25.4 is found unenforceable for a particular claim, that claim must be decided by a court and not in arbitration, but this Section 25 continues to apply to all other claims.
25.5Exceptions#
Either party may bring an individual claim in small claims court if it qualifies, and either party may ask a court for an injunction or other equitable relief to stop the infringement or misuse of its intellectual property rights.
25.6Time limit#
To the extent the law allows, any Dispute must be started within one year after it arises, or it is permanently barred.
25.7Opting out#
You can opt out of this agreement to arbitrate by emailing legal@morselwallet.app within 30 days of the day you first accept these Terms. Write "Arbitration opt-out" in the subject line and include your name and a statement that you are opting out. If you want the opt-out to cover a particular wallet, include its public address. Opting out does not affect any other part of these Terms. If you opt out, Section 26 applies to Disputes.
25.8Changes to this Section#
If we make a material change to this Section 25, the change will not apply to a Dispute you had already notified us about before the change took effect.
26Governing law and venue#
These Terms and any Dispute are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws rules, and, for Section 25, by the Federal Arbitration Act. Any Dispute not subject to arbitration must be brought in the state courts located in Sheridan County, Wyoming, or the United States District Court for the District of Wyoming, and you and Morsel consent to the personal jurisdiction of those courts.
If you are a consumer living outside the United States, you may also have the benefit of mandatory consumer protection laws of the country where you live, and nothing in these Terms takes those rights away.
27Changes to the Services and these Terms#
We may change, suspend or stop any part of the Services at any time, including any feature, supported network or asset, for example for security, legal or business reasons. Because Morsel is self-custody software, you can always access your assets with your recovery phrase in other compatible wallet software, even if the App is no longer available.
We may update these Terms from time to time. We will change the "Last updated" date at the top and, for material changes, give you reasonable notice, for example in the App or on our website, before they take effect. If you keep using the Services after the changes take effect, you accept the updated Terms. If you do not agree, stop using the Services.
28Suspension and termination#
You can stop using the Services at any time by uninstalling the App. Your wallets and assets remain yours and can be restored with your recovery phrase.
We may suspend or end your access to all or part of the Services, including Morsel Infrastructure and the features we operate, at any time if we reasonably believe you have broken these Terms or the law, if required by law or a court or authority, or to protect the Services, other users or Morsel. Sections 4, 13, 15 and 18 through 30 survive any termination.
29General#
- Entire agreement. These Terms, the Privacy Policy and any feature terms shown in the App are the whole agreement between you and Morsel about the Services.
- Severability. If any part of these Terms is found unenforceable, it will be enforced to the maximum extent possible and the rest stays in effect.
- No waiver. Not enforcing a right is not a waiver of it.
- Assignment. You may not transfer these Terms without our consent. We may transfer them, for example as part of a merger, acquisition or sale of assets.
- Events beyond our control. We are not responsible for delays or failures caused by events beyond our reasonable control, including network failures, attacks, outages of third-party services, natural disasters and acts of government.
- Notices. We may give you notices in the App or on our website. You can send us notices at legal@morselwallet.app.
- Language. These Terms are written in English. Any translation is for convenience, and the English version controls.
- Headings. Headings are for convenience only and do not affect meaning.
